1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and iCubeMedia Inc. ("Company," "we," "our," or "us") regarding your use of our mobile applications and related services.

If you do not agree with these Terms, do not download, install, or use our applications.

2. Description of Service

Our mobile applications provide various digital services including but not limited to:

• Content processing and generation
• File management and organization
• AI-powered features and tools
• Cloud synchronization services
• User account and preference management

3. User Accounts

Account Creation

To access certain features, you may need to create an account. You agree to:

• Provide accurate and complete information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized use
• Accept responsibility for all activities under your account

Account Termination

We reserve the right to suspend or terminate accounts that violate these Terms or for any other reason at our sole discretion.

4. Acceptable Use

You agree to use our applications only for lawful purposes and in accordance with these Terms. You agree not to:

• Violate any applicable laws or regulations
• Upload or share content that is illegal, harmful, or offensive
• Attempt to gain unauthorized access to our systems
• Interfere with the proper functioning of our applications

• Reverse engineer or attempt to extract source code

Your Content

You retain ownership of content you upload or create using our applications. By using our services, you grant us a limited license to:

• Process and store your content to provide our services
• Use your content to improve our AI algorithms (anonymized)
• Create backups and ensure service reliability

Our Intellectual Property

Our applications, including all software, designs, text, graphics, and other content, are owned by iCubeMedia Inc. and protected by intellectual property laws.

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

7. Subscription and Payment Terms

Subscription Services

Some features may require a paid subscription. Subscription terms include:

• Automatic renewal unless cancelled
• Billing through your app store account
• No refunds for partial billing periods
• Price changes with 30-day notice

Free Trial

Free trials may be offered for subscription services. Trials automatically convert to paid subscriptions unless cancelled before the trial period ends.

8. Service Availability

We strive to maintain high service availability, but we do not guarantee:

• Uninterrupted access to our applications
• Error-free operation of all features
• Compatibility with all devices or operating systems
• Permanent availability of any specific feature

9. Limitation of Liability

To the fullest extent permitted by law:

• Our total liability is limited to the amount paid by you in the 12 months prior to the claim
• We are not liable for data loss, business interruption, or lost profits
• We are not responsible for third-party content or services

10. Indemnification

You agree to indemnify and hold harmless iCubeMedia Inc. from any claims, damages, or expenses arising from:

• Your use of our applications
• Your violation of these Terms
• Your violation of any third-party rights
• Content you upload or share through our services

11. Modification of Terms

We reserve the right to modify these Terms at any time. We will notify users of significant changes through:

• In-app notifications
• Email notifications to registered users
• Updates to this webpage

Continued use of our applications after changes constitutes acceptance of the new Terms.

12. Termination

Either party may terminate this agreement at any time:

• By You: Delete the app and stop using our services
• By Us: With or without cause, with reasonable notice when possible

Upon termination, your right to use our applications ceases immediately.

13. Governing Law

These Terms are governed by the laws of the jurisdiction where iCubeMedia Inc. is incorporated, without regard to conflict of law principles.

Informal Resolution

Before pursuing legal action, please contact us at app@icubemedia.ca to resolve disputes informally.

Binding Arbitration

Any disputes not resolved informally will be settled through binding arbitration rather than in court, except for:

• Intellectual property disputes
• Small claims court matters
• Injunctive relief requests

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and iCubeMedia Inc. regarding our services.

If you download our applications through an app store (Apple App Store, Google Play Store, etc.), you also agree to that platform's terms of service. In case of conflict between these Terms and the app store terms, these Terms will govern the relationship between you and iCubeMedia Inc.

Apple App Store Additional Terms

• These Terms are between you and iCubeMedia Inc., not Apple
• Apple is not responsible for our applications or content
• Apple has no warranty obligations regarding our applications
• Apple is not responsible for addressing any claims relating to our applications
